Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of Scalent’s website and services, including the AI phone receptionist, website AI chatbot, DM setters and auto-reply, and SMS automation (the “Automation Services”), as well as paid advertising management, SEO, landing page and funnel build, and content marketing services (the “Marketing Services” and, together with the Automation Services, the “Services”). By using our website or engaging our Services, you agree to be bound by these Terms.
Description of Services
Scalent designs, configures, and operates AI-powered automation on behalf of client businesses to answer calls, respond to website chat and social media messages, and send automated text communications. Scalentalso provides marketing services, including paid advertising campaign management, search engine optimization, landing page design, and content marketing. Services are configured based on information and instructions provided by the client business and are intended to support, not replace, that business’s own judgment on matters requiring professional expertise (e.g., legal or medical advice).
Acceptable Use
You agree not to use our Services to:
- Violate any applicable law or regulation
- Send unsolicited communications without proper consent
- Transmit false, misleading, or fraudulent content
- Interfere with or disrupt the integrity of the Services
- Attempt to reverse-engineer or misuse the underlying AI systems
Payment & Billing
Package pricing, billing frequency, and setup fees are outlined on our Pricing page and confirmed in your service agreement. Fees are billed in advance on a recurring basis unless otherwise agreed in writing. Late or failed payments may result in suspension of Services. Paid Advertising Services & Account Access
For clients enrolled in our Paid Ad Management service, we may be granted access to your Google Ads, Meta Ads, or other advertising platform accounts to build, launch, and manage campaigns on your behalf. Ad spend is billed directly by the applicable advertising platform to the payment method connected to your account, separate from Scalent’s own service fees.

SMS & TCPA Compliance Notice
By opting in to receive text messages from Scalent or from a business using our SMS automation Services, you consent to receive automated and non-automated text messages, including appointment reminders, follow-up messages, and marketing communications, at the mobile number provided.
- Consent: Consent to receive SMS messages is not a condition of purchasing any goods or services. You may opt in via a web form, verbal consent, or other method as permitted by law.

This notice is provided in accordance with the Telephone Consumer Protection Act (TCPA) and carrier messaging guidelines. Businesses using our SMS Services are responsible for obtaining and documenting proper consent from their own customers prior to enrolling them in automated messaging.
Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SCALENT DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF AI-DRIVEN COMMUNICATIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Intellectual Property
All content, software, and technology used to provide the Services, including AI models, prompts, and workflows developed by Scalent, remain our intellectual property or that of our licensors. Client business data used to train or configure a specific deployment remains the property of that client business.
Termination
Either party may terminate service in accordance with the notice period specified in the applicable service agreement. Upon termination, Scalent will disable active automations and, upon request, provide or delete client data in accordance with our Privacy Policy.
Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Washington, unless otherwise required by applicable law.
